Phraso AI Pte. Ltd. Terms of Use

These Terms of Use ("Terms"), and Privacy Policy govern your access to and use of the Phraso AI website located at www.Phraso.ai (the "Website") and the software as a service offered by Phraso AI Pte. Ltd. ("Phraso AI," "we," "us," or "our") (the "Service").
1. Acceptance of Terms
By accessing or using the Website or Service, you agree to be bound by these “Terms of Use” and “Privacy Policy”. If you disagree with any part of these “Terms of Use” or “Privacy Policy”, you may not access or use the Website or Service.
1.1 We reserve the right to update or modify these “Terms of Use” and “Privacy Policy” at any time without prior notice. Any changes or modifications will be effective immediately upon posting the revised “Terms of Use” and “Privacy Policy” on the Website. Your continued use of the Website or Service after any such changes constitutes your acceptance of the revised “Terms of Use” and “Privacy Policy”. 3. Subscription
Phraso AI offers multiple subscription plans for the Service:
- Freemium: This plan provides limited access to the Service, including a limited number of credits (which are added monthly) and functionalities.
- Paid: This plan provides full access to the Service, with options for monthly or annual subscriptions. Pricing details are available on the Website.
- Cancellation: You may cancel the Service by going to the Billing portal, and you will have access until the end of your Billing cycle, which can be a monthly, annual or customised Billing cycle for the Enterprise plan.
- Renewal: All plans will be renewed until it is cancelled in the Billing portal.
By subscribing to the Service, you agree to pay the applicable subscription fees. We use a secure third-party payment processor to handle all transactions. You are responsible for maintaining a valid payment method on file. We reserve the right to suspend or terminate your access to the Service if your payment is declined.
4. Dos and Don'ts for Using Our Services
- Play by the Rules: You agree to use our platform only for lawful purposes and according to these terms, any additional instructions we provide, and all applicable laws.
- Respect Our Rights and Others': Don't use our platform in a way that violates our rights, the rights of others, or infringes on any intellectual property.
- Use Generated Content Responsibly: For content we generate (Generated Content), you must use it in a way that aligns with both the OpenAI mission and Charter (considered part of these terms) and Google Gemini's API Terms (also considered part of these terms). OpenAI and Google Gemini have the final say on what matches their missions.
- No Cheating: Don't try to bypass any limitations or restrictions we put in place, like call rate limits.
- Minimise Harm: We want to reduce any negative impacts of using our platform (including sharing Generated Content). You also agree to follow both OpenAI's Terms of use and Google Gemini's Terms of Service and its related terms and conditions, to help with this. We may ask you about your efforts to reduce risks, and you agree to answer us. This information helps us make sure you're following the terms and improve our services.
5. Third-Party Gen AI Platforms
The Service utilises various third-party Generative AI (Gen AI) platforms such as Open AI and Google Gemini, to provide its functionalities. Your use of our Service is also subject to OpenAI's and Google Gemini's Terms of Service policies.Phraso AI is not responsible for the content, accuracy, or functionality of any third-party Gen AI platforms.
6. Your Content
(a) Sharing Your Stuff:
Our platform lets you store and share things like text (posts, messages), files, pictures, music, and videos. We call all this stuff you post "User Content." We don't claim ownership of it, and these terms won't limit your rights to your own content.
(b) Permissions for Your Stuff:
By sharing things on our platform, you give us (Phraso AI Pte. Ltd.), our partners, and anyone we allow (sub-licensees) permission to use, store, modify, and share your User Content. This permission is worldwide, never expires, and applies to anything created based on your content (derivative works).
(c) You're Responsible for Your Stuff:
You're entirely responsible for the things you share (User Content). You promise you have the right to give us these permissions and that your content won't violate anyone else's rights or break any laws.
(d) Taking Down Your Stuff:
You can remove your User Content by deleting it. However, in some cases (like posts or comments), complete removal may not be possible, and copies might still exist. We are not liable for removing or failing to remove your content.
(e) Using Our Generated Content:
If you follow these terms, we grant you permission to use, modify, sell, and do other things with content we generate (Generated Content) for your business purposes. This permission is non-exclusive and worldwide.
(f) We Own Certain Content:
Some content on our platform, including Generated Content, may be protected by intellectual property rights. . We (and our partners, if applicable) own all rights to this content.
7. Intellectual Property
The Website and Service, including all intellectual property rights therein, are owned by Phraso AI or its licensors. You are granted a non-exclusive, non-transferable licence to access and use the Website and Service in accordance with these Terms.
8. Disclaimers
THE WEBSITE AND SERVICE ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Phraso AI DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Phraso AI DOES NOT WARRANT THAT THE WEBSITE OR SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
IN NO EVENT SHALL Phraso AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR SERVICE, EVEN IF Phraso AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Term and Termination
These Terms shall remain in full force and effect while you use the Website or Service. We may suspend or terminate your access to the Website or Service at any time, with or without cause, upon written notice to you. You may terminate these Terms by discontinuing your use of the Website and Service.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
12. Entire Agreement
These Terms constitute the entire agreement between you and Phraso AI regarding your use of the Website and Service.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Website. You are advised to review these Terms periodically for any changes. Your continued use of the Website or Service after the posting of any revised Terms constitutes your acceptance of the revised Terms.
14. Copyright Policy
Phraso AI Pte. Ltd. ("Phraso AI," "we," "us," or "our") respects the intellectual property rights of others and expects users of the Website and Service (defined in the Terms of Use) to do the same.
- Ownership of Content The Website and Service, including all text, graphics, logos, images, software, and other content (collectively, the "Content"), are protected by copyright, trademark, and other intellectual property laws. Phraso AI owns or licences Content.
- User Content You retain all ownership rights to the content you upload, post, or otherwise submit to the Website or Service ("User Content"). By submitting User Content, you grant Phraso AI a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, publish, distribute, and translate your User Content for the sole purpose of providing and improving the Website and Service.
- Third-Party Content The Website and Service may contain content from third-party licensors ("Third-Party Content"). Phraso AI does not claim ownership of any Third-Party Content.
- Prohibited Uses You may not copy, modify, distribute, transmit, display, sell, licence, or create derivative works from the Content without the express written permission of Phraso AI. You may not remove or alter any copyright, trademark, or other proprietary rights notices contained in the Content. You may not use the Content for any illegal or unauthorised purpose.
- DMCA Notice Phraso AI respects the intellectual property rights of others. If you believe that your content has been copied in a way that constitutes copyright infringement, please provide Phraso AI with a written notice ("DMCA Notice") that includes the following information:
- An electronic or physical signature of the person authorised to act on behalf of the owner of the copyrighted interest;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the allegedly infringing material is located on the Website or Service;
- Your address, telephone number, and email address;
- A statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law; and
- A statement by you, made under penalty of perjury, that the information in the DMCA Notice is accurate and that you are the copyright owner or authorised to act on the copyright owner's behalf.
Phraso AI will respond to all valid DMCA Notices within a reasonable time.
