Phraso AI Pte. Ltd. Terms of Use

These Terms of Use (“Terms”), together with our Privacy Policy, govern your access to and use of the Phraso AI website located at www.phraso.ai (the “Website”) and the software-as-a-service products, browser extensions, integrations, and related applications offered by Phraso AI Pte. Ltd. (“Phraso AI,” “we,” “us,” or “our”) (collectively, the “Service”). Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy forms an integral part of these Terms and is incorporated herein by reference.
The Service enables users to create, personalize, and automate business-to-business (B2B) email outreach, follow-ups, and engagement sequences using Phraso AI's solution and third-party APIs (such as Open AI's chat gpt, google's gemini , Gmail, Microsoft Outlook).
1. Acceptance of Terms
By accessing or using the Website or Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
1.1 Updates to the Terms
We may update or modify these Terms at any time without prior notice. The updated version will take effect upon posting to the Website. Continued use of the Service after such posting constitutes your acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Privacy Policy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data and email integration data.
4. Subscriptions and Billing
We offer multiple subscription plans, including freemium and paid tiers.
- Freemium Plan: Limited usage and credits, renewed monthly.
- Paid Plans: Full access to features such as Gen AI email content generation, campaign sequencing, analytics, and integrations.
Payment processing is handled by trusted third-party vendors ( Stripe ). You must maintain valid billing information to avoid suspension.
4.1 Renewal and Cancellation
Subscriptions automatically renew unless canceled through the Billing Portal. You may cancel at any time, and access will continue until the end of your billing cycle or contract term.
5. Permitted Use
You agree to use the Service only for lawful, professional business purposes — particularly for legitimate B2B communications.
You agree not to:
- Use the Service to send unsolicited or bulk commercial emails (“spam”).
- Violate Gmail, Outlook, or any email provider’s acceptable use policy.
- Harvest or scrape personal email addresses without consent.
- Interfere with network security, rate limits, or data-protection safeguards.
- Misrepresent your identity or impersonate others in communications.
6. Email Deliverability and API Integrations
The Service may integrate with third-party email APIs (e.g., Gmail API, Microsoft Graph API) to send or manage emails from your own account, only with your consent.
By connecting your account, you authorize Phraso AI to act as your agent solely to facilitate sending, tracking, and managing your own business communications.
You retain full ownership of all sent messages.
Phraso AI complies with the Google API Services User Data Policy, including Limited Use Requirements, and does not use Gmail data for advertising, profiling, or resale.
7. AI-Generated and User Content
7.1 User Content
You may input data such as names, emails, message text, and campaign parameters (“User Content”). You retain ownership of your User Content but grant Phraso AI a limited, worldwide, royalty-free license to process it solely to deliver the Service.
7.2 AI-Generated Content
AI-generated outputs (“Generated Content”) are provided for your use under a non-exclusive, worldwide license. You are responsible for reviewing and ensuring accuracy, compliance, and appropriateness before use. Generated Content may occasionally contain errors or bias; you assume full responsibility for your use of it.
7.3 Prohibited Content
You may not upload or distribute content that is illegal, abusive, defamatory, misleading, or infringes any intellectual-property or privacy rights.
8. Intellectual Property
All intellectual-property rights in the Service, including the platform, algorithms, documentation, and branding, are owned by Phraso AI or its licensors.
Nothing in these Terms grants you ownership of any part of the Service.
9. Third-Party Platforms and Dependencies
The Service relies on third-party tools (such as OpenAI, Google Gemini, Gmail, Microsoft Outlook, or CRMs). Your use of these integrations is also subject to their respective terms of service.
Phraso AI is not responsible for any downtime, errors, or data issues originating from these third-party providers.
10. Data Security and Compliance
We implement strong encryption, secure OAuth 2.0 authentication, and rate-limiting safeguards.
We comply with GDPR, CCPA, and PDPA data-protection requirements.
You are responsible for ensuring your email communications comply with anti-spam and data-protection laws applicable in your region, including:
- CAN-SPAM Act (United States)
- GDPR (European Union)
- Singapore PDPA or equivalent
11. Service Availability
We strive for uninterrupted Service but do not guarantee continuous uptime.
Temporary interruptions may occur due to maintenance, updates, or provider outages.
12. Disclaimer of Warranties
THE SERVICE AND WEBSITE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
Phraso AI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will meet your expectations or that email deliverability will always succeed.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHRASO AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF SUCH POSSIBILITY.
Your sole and exclusive remedy for dissatisfaction with the Service is to discontinue use.
14. Termination
You or Phraso AI may terminate your account or subscription at any time, subject to the following terms:
- Termination by You:
You may terminate your account at any time through your Billing Portal or by written notice to Phraso AI. Upon termination, your access to the Service will continue until the end of your current paid billing period or contract term, unless otherwise explicitly agreed in writing. - Termination by Phraso AI:
We may suspend or terminate your access to the Service immediately, with or without notice, if:- You breach these Terms, violate applicable laws, or misuse the Service;
- Payment is overdue or declined and not remedied within a reasonable grace period; or
- Continued access would expose Phraso AI to legal, financial, or reputational risk.
- Effect of Termination:
- If there is any unspent or remaining access period (e.g., prepaid subscription validity or active contract term), you will retain use of the Service until that period expires, unless termination was due to a material breach or mutual written agreement to end access early.
- Any unpaid fees or outstanding invoices accrued prior to termination shall remain immediately payable.
- Upon termination, all rights and licences granted to you under these Terms shall cease, except as needed for final settlement of obligations or continued access during an existing valid term.
- Data Retention:
Following termination or expiry, Phraso AI may retain User Content and metadata for a limited period for legal, billing, or backup purposes, after which data will be securely deleted in accordance with our Privacy Policy.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles.
16. Entire Agreement
These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Phraso AI.
17. Copyright and DMCA Policy
Phraso AI respects intellectual-property rights. If you believe your content has been used in a way that constitutes copyright infringement, send a detailed notice to:
